Terms of Service

Article 1 (Applicability)

  1. These Terms of Service (hereinafter referred to as "these Terms") define the conditions for using Memoly (hereinafter referred to as "this App").
  2. By downloading, installing, or using this App, the user is deemed to have agreed to these Terms.
  3. If you do not agree to these Terms, you may not use this App.

Article 2 (Definitions)

The definitions of terms used in these Terms are as follows:

  1. "This App": The iOS mobile application named Memoly
  2. "User": Any individual who uses this App
  3. "Operator": The business entity that develops and operates this App
  4. "Content": Information created and registered by the user within this App (person information, memos, community information, etc.)
  5. "Paid Services": Subscriptions (monthly plan/annual plan) provided within this App

Article 3 (Purpose of this App)

The purpose of this App is to provide a personal CRM tool for users to record and manage relationships with people they meet in daily life and to organize memories and conversation details.


Article 4 (Eligibility)

  1. To use this App, you must own an iOS device and download this App from the App Store.
  2. If a person under the age of 13 uses this App, parental consent is required.
  3. The user shall register accurate and up-to-date information and shall not register false information.

Article 5 (Account Management)

  1. This App currently does not require the creation of a user account. All data is saved locally on the user's device.
  2. The user shall be responsible for the security management of their own device, and the Operator shall not be liable for any loss or theft of the device or unauthorized use by a third party.

Article 6 (Free Plan and Paid Plan)

6.1 Free Plan

The following restrictions apply to the Free Plan:

  • Number of Communities: Maximum 1
  • Number of People Registered: Maximum 10
  • Profile Photo: Not available
  • Memo Function: Unlimited use available

6.2 Paid Plan (Premium Subscription)

The following functions are available in the Paid Plan:

  • Number of Communities: Unlimited
  • Number of People Registered: Unlimited
  • Profile Photo: Available
  • Memo Function: Unlimited use available

6.3 Plan Types

There are two types of Paid Plans:

  • Monthly Plan: Subscription automatically renewed every month
  • Annual Plan: Subscription automatically renewed every year

Article 7 (Billing and Payment)

  1. The fees for the Paid Plan follow the prices displayed in the App Store.
  2. Payment is made via Apple's App Store and charged to the user's Apple ID account.
  3. The subscription will automatically renew unless canceled by the user.
  4. Fees will be charged to the Apple ID account within 24 hours prior to the end of the current billing period.
  5. Subscription management and cancellation can be done from the device's account settings.

Article 8 (Refunds and Cancellation)

  1. Refunds for subscriptions follow Apple's refund policy.
  2. Users can cancel the subscription by turning off auto-renewal at least 24 hours before the end of the current billing period.
  3. Even after cancellation, premium features can be used until the end of the current billing period.
  4. If a subscription is purchased during the free trial period, any unused portion of the trial period will be forfeited.

Article 9 (Prohibited Acts)

Users must not engage in the following acts when using this App:

  1. Acts that violate laws and regulations or public order and morals
  2. Acts related to criminal activities
  3. Acts that infringe on the rights of third parties (copyrights, trademark rights, privacy rights, etc.)
  4. Registration of false information regarding third parties, defamation, or information that infringes on privacy
  5. Acts that interfere with the operation of this App
  6. Reverse engineering, decompiling, or disassembling this App
  7. Unauthorized use or alteration of this App
  8. Acts that threaten the security of this App
  9. Acts of impersonating other users or third parties
  10. Other acts deemed inappropriate by the Operator

Article 10 (Handling of Content)

  1. The copyright of the content created and registered by the user within this App belongs to the user.
  2. The user shall bear all responsibility for the content they create.
  3. The Operator does not have the authority to view, monitor, or delete user content. All content is saved only within the user's device.
  4. The user bears the responsibility to be careful not to infringe on the rights of third parties regarding information registered in this App.

Article 11 (Data Backup)

  1. This App currently does not provide a cloud backup function.
  2. Users can backup the data of this App by using the standard iOS backup function (iCloud backup or iTunes backup).
  3. The Operator shall not be liable for any loss of data due to device failure, loss, app deletion, etc.
  4. Users are recommended to regularly backup important data.

Article 12 (Intellectual Property Rights)

  1. Intellectual property rights (copyrights, trademark rights, patent rights, etc.) related to this App belong to the Operator or legitimate right holders.
  2. The user is granted a license to use this App and does not acquire intellectual property rights related to this App.

Article 13 (Disclaimer)

  1. The Operator makes no warranty regarding the completeness, accuracy, safety, usefulness, currency, etc., of this App.
  2. This App is provided "as is," and the Operator shall not be liable for any damages arising from the use of this App.
  3. The Operator shall not be liable for damages caused by the following reasons:
    • Device failure, loss, or theft
    • Loss or corruption of data
    • Unauthorized access by third parties
    • iOS updates, changes in App Store policies
    • Communication environment defects
    • Trouble between users or between a user and a third party
  4. If a user causes damage to a third party using this App, the user shall resolve this at their own responsibility and expense, and the Operator shall not be liable.

Article 14 (Change, Suspension, Termination of Service)

  1. The Operator may change the content or specifications of this App without prior notice to the user.
  2. The Operator may temporarily suspend or terminate the provision of this App in the following cases:
    • When performing maintenance or updates of this App
    • When provision of this App is difficult due to force majeure such as natural disasters, fire, power outages, etc.
    • When provision of this App is difficult due to changes in App Store policies
    • Otherwise, when deemed necessary for operational or technical reasons
  3. Regarding damages incurred by Paid Plan users due to the termination of the provision of this App, the Operator will consider compensation within a reasonable range, but shall not bear further responsibility.

Article 15 (Changes to Terms of Service)

  1. The Operator may change these Terms as necessary.
  2. If the user continues to use this App after the change of Terms, it is deemed that the user has agreed to the changed Terms.
  3. If there are important changes, we will notify you in advance within the app or on the website.

Article 16 (Severability)

Even if any provision of these Terms is determined to be invalid or unenforceable, it shall not affect the validity of other provisions.


Article 17 (Governing Law and Jurisdiction)

  1. These Terms shall be governed by and interpreted in accordance with Japanese law.
  2. The Tokyo District Court shall be the exclusive agreed court of first instance for any disputes related to this App.
